Associations of Intelligent Medicine (IAIM)
Chapter I General Provisions
Article 1 Name
The official name of this organization is the International Associations of Intelligent Medicine. Its acronym is “IAIM” in English, “国际智能医学会” in Chinese.
Article 2 Nature
The IAIM is a non - profit social organization. It is formed by the voluntary participation of global researchers, clinicians, engineers, and corporate representatives in the field of intelligent medicine. The organization focuses on academic and educational activities.
Article 3 Purpose
The IAIM adheres to the laws, regulations, and policies of all countries. Guided by the principles of science, innovation, cooperation, and development, it aims to promote academic exchanges and cooperation in the intelligent medicine field. The organization also aims to accelerate the innovation, development, and clinical application of intelligent medical technologies, enhance the global standard of intelligent medicine, and ultimately serve human health.
Article 4 Headquarters Location
The headquarters of the IAIM is temporarily located at 2482 JAMESTOWN LN, AURORA, IL, USA. Any change in the headquarters location must be decided through a resolution of the Council.
Article 5 Scope of Business
- 1.Academic Exchanges: Organize international academic conferences, seminars, and training courses in the field of intelligent medicine to facilitate academic exchanges and knowledge sharing.
- 2.Research Collaboration: Support and promote collaborative research projects in intelligent medicine. Encourage interdisciplinary research and the translation of research findings into practical applications.
- 3.Platform Building: Establish an international platform for communication in the field of intelligent medicine. Strengthen cooperation and communication among members, as well as with other relevant organizations.
- 4.Education and Training: Promote learning and communication, and popularize new technologies and advancements in the field of intelligent medicine.
- 5.Science Popularization: Conduct science popularization activities in the field of intelligent medicine to enhance public awareness and understanding.
- 6.Standard Setting: Participate in formulating industry standards and norms for the intelligent medicine field, promoting the healthy and orderly development of the industry.
- 7.Publication: Edit and publish Advances in Medical Research, an academic journal on intelligent medicine, featuring the latest research achievements and developments.
Chapter II Members
Article 6 Membership Categories
The IAIM consists of the President, Vice - Presidents, Fellows, Honorary Fellows, Chairpersons of Professional Committees, Vice - Chairpersons of Professional Committees, and Members. Each professional committee within the association has a Chairperson, Vice - Chairpersons, and Members.
- 1.President: The President serves concurrently as the associated Director of the IAIM. The President is responsible for leading the overall work of the IAIM, representing the organization in important international affairs and cooperation, and formulating its development strategy.
- 2.Vice - Presidents: Nominated by the President and elected by the Council. Vice - Presidents assist the President, oversee specific areas of work, and assume the President’s duties in their absence.
- 3.Fellows: Individuals who have achieved remarkable research results, clinical accomplishments, or technological innovations in the field of intelligent medicine and have significant industry influence. They can become Fellows after being reviewed and approved by the Council and elected by the Committee.
- 4.Honorary Fellows: Individuals or groups that have made substantial contributions to the development of the IAIM or have outstanding achievements and high prestige in the field of intelligent medicine. They are granted the title of Honorary Fellows after being nominated by the Council and approved by a vote at the General Assembly of Members.
- 5.Chairpersons of Professional Committees: Chairpersons are responsible for organizing academic and educational exchange activities of their respective professional committees.
- 6.Vice - Chairpersons of Professional Committees: Vice - Chairpersons assist the Chairpersons in their work.
- 7.Members: Scientific researchers, clinicians, engineers, educators, etc., who possess professional knowledge or practical experience in the field of intelligent medicine and related areas. Institutional members include universities, research institutions, enterprises, and medical institutions engaged in intelligent medicine - related businesses.
Article 7 Eligibility for Membership
- 1.Support the Articles of Association of the IAIM.
- 2.Express a willingness to join the IAIM.
- 3.Have a certain influence in the field of intelligent medicine or actively participate in the IAIM’s activities.
Article 8 Membership Application Process
- 1.Submit a membership application.
- 2.Ordinary Members require sponsorship by two existing Members and must pass the review. Fellows need to be recommended by two Fellows and reviewed by the Council. Honorary Fellows are nominated by the Council and approved by a vote at the General Assembly of Members.
- 3.The Council or an entity authorized by the Council will issue membership certificates.
Article 9 Rights of Members
- 1.Ordinary Members:
- The right to vote, stand for election, and be elected.
- The right to participate in all activities organized by the IAIM and its professional committees.
- Priority access to services, information, and materials provided by the IAIM and its professional committees.
- The right to provide critical feedback, suggestions, and supervision of the IAIM’s and its professional committees’ work.
- The freedom to join and withdraw from the IAIM.
- 2.Fellows: In addition to the rights of ordinary members, Fellows enjoy priority participation in the organization and planning of core research projects and academic exchange activities of the IAIM. They also receive priority review when publishing articles in academic journals.
- 3.Honorary Fellows:
- Invitation to important events organized by the IAIM.
- The right to provide suggestions and feedback on the IAIM’s work.
- Receive complimentary copies of academic journals and materials published by the IAIM.
Article 10 Obligations of Members
- 1.Comply with the Articles of Association of the IAIM and implement its resolutions.
- 2.Protect the legitimate rights, interests, and reputation of the IAIM.
- 3.Complete tasks assigned by the IAIM.
- 4.Pay membership fees as required.
- 5.Report relevant information to the IAIM and provide necessary materials.
Article 11 Withdrawal from Membership
- 1.Members who wish to withdraw must notify the IAIM in writing.
- 2.Members who fail to pay membership fees for one year or miss more than two IAIM - organized activities will be considered to have withdrawn automatically.
- 3.In the case of Fellows and Honorary Fellows, if they seriously violate the Articles of Association or damage the IAIM’s reputation, the Council may revoke their membership through a vote.
Chapter III Organizational Structure and the Election and Removal of Office - Bearers
Article 12 General Assembly of Members
- 1.Powers: The General Assembly of Members is the highest decision - making body of the IAIM. It formulates and amends the Articles of Association, elects and removes Council members, reviews the work and financial reports of the Council, decides on dissolution matters, and determines other major issues.
- 2.Convening: The General Assembly of Members must be attended by at least two - thirds of all members. Resolutions require approval by more than half of the attending members. For important matters such as amending the Articles of Association, approval by at least two - thirds of the attending members is required.
- 3.Term: The term of the General Assembly of Members is five years. In special circumstances, if early or postponed is necessary, it must be approved by the Council, reviewed by the competent business authorities, and approved by the social organization registration and management authorities. However, the postponement shall not exceed one year.
Article 13 Council
- 1.Responsibilities: The Council is the executive body of the General Assembly of Members. It leads the daily operations of the IAIM during the intervals between sessions of the General Assembly of Members and is accountable to it. The Council implements the resolutions of the General Assembly of Members, elects and removes the President, Vice - Presidents, and Secretary - General, prepares for the convening of the General Assembly of Members, reports on work and financial status to the General Assembly of Members, decides on the admission or expulsion of members, determines the establishment of administrative offices, branch organizations, representative offices, and affiliated entities, appoints the Deputy Secretary - General and the principal leaders of various organizations, leads the work of all organizations of the IAIM, formulates internal management regulations, and decides on other major issues.
- 2.Meetings: The Council must be attended by at least two - thirds of all Council members. Resolutions require approval by at least two - thirds of the attending Council members. The Council shall hold at least one meeting per year. In special cases, meetings may be held via communication means.
Article 14 Office - Bearers
- 1.President: The President serves concurrently as the associated Director of the IAIM. The President leads the overall work of the IAIM, represents the organization in important international affairs and cooperation, and formulates its development strategy.
- 2.Vice - Presidents: Nominated by the President and elected by the Council. Vice - Presidents assist the President, oversee specific areas of work, and assume the President’s duties in their absence.
- 3.Secretary - General: Nominated by the President and elected by the Council. The Secretary - General manages the daily operations of the administrative office, implements the annual work plan, coordinates the work among various organizations, and handles daily administrative affairs.
- 4.Deputy Secretary - General: Nominated by the Secretary - General and appointed by the Council. The Deputy Secretary - General assists the Secretary - General, being specifically responsible for tasks such as drafting documents, organizing meetings, and providing member services.
- 5.Chairpersons of Professional Committees: Nominated by the President and Vice - Presidents, reviewed and approved by the Council, and appointed by the Council. Chairpersons are responsible for organizing academic and educational exchange activities of their respective professional committees.
- 6.Vice - Chairpersons of Professional Committees: Nominated by the Chairpersons of Professional Committees, reviewed and approved by the Council, and then appointed. Vice - Chairpersons assist the Chairpersons in their work.
Chapter IV Asset Management and Usage Principles
Article 15 Sources of Funds
- 1.Membership Dues: Personal and institutional members pay membership dues as required. The dues standards are set based on membership categories and international economic conditions.
- 2.Donations: Accept donations from individuals, corporations, foundations, and international organizations worldwide.
- 3.Government Subsidies: Seek government subsidies for international cooperation projects in the field of intelligent medicine.
- 4.International Organization Grants: Receive grants from international organizations for international cooperation projects in the field of intelligent medicine.
- 5.Income from Approved Activities: Income from activities such as academic conference fees, training course fees, and journal publication revenues within the approved scope of business.
- 6.Interest: Interest income generated from the association’s assets.
- 7.Other Legitimate Income: Other income obtained through legal means.
Article 16 Membership Dues Standards
The IAIM sets membership dues standards in accordance with relevant regulations, reasonably determining the amount based on membership categories and levels.
Article 17 Fund Management
- 1.The funds of the IAIM must be used within the scope of business specified in the Articles of Association and for the development of the organization, strictly following the norms and requirements of non - profit social organizations.
- 2.Establish a strict financial management system to ensure the legality, authenticity, accuracy, and completeness of accounting records.
- 3.Employ qualified accounting professionals. An accountant shall not concurrently serve as a cashier. Accountants must conduct accounting and financial supervision. When an accountant changes jobs or leaves, they must complete handover procedures with the successor.
Article 18 Asset Management
- 1.The IAIM’s asset management must comply with relevant US financial management regulations and be subject to the supervision of the General Assembly of Members and relevant financial regulatory authorities.
- 2.Assets from social donations or subsidies must be subject to the supervision of auditing authorities, and relevant information shall be publicly disclosed in an appropriate manner.
- 3.The IAIM must undergo financial audits before or a change in the legal representative. The assets of the IAIM shall not be encroached upon, privately divided, or misappropriated by any unit or individual.
Chapter V Procedures for Amending the Articles of Association
Article 19 Proposal for Amending the Articles of Association
Any amendment to the Articles of Association must be approved by the Council before being submitted to the General Assembly of Members for deliberation. When proposing amendments, the Council shall clearly state the reasons, content, and potential impact on the development of the IAIM. Relevant materials shall be distributed to all Council members and members in advance to solicit their opinions.
Article 20 Approval of Amended Articles of Association
The amended Articles of Association must be filed with the relevant regulatory authorities within 20 days after being approved by the General Assembly of Members. The amended Articles of Association shall be published on the official website of the IAIM and relevant media to ensure that all members and the public are informed.
Chapter VI Termination Procedures and Disposal of Assets after Termination
Article 21 Termination Motion
If the IAIM has fulfilled its mission, decides to dissolve, or needs to be dissolved due to separation, merger, or other reasons, the Director or the Standing Council shall propose a termination motion. The motion must clearly state the reasons. After full discussion and voting by all Council members, it can be proposed only if it receives the approval of more than two - thirds of the Council members.
Article 22 Approval of Termination Motion
The termination motion of the IAIM must be approved by a vote at the General Assembly of Members. Before the vote, members shall be fully informed of the reasons for termination, its impact, and the subsequent disposal of assets to ensure their right to know and participate.
Article 23 Establishment of Liquidation Organization
Before the termination of the IAIM, a liquidation organization must be established under the guidance of relevant regulatory authorities and relevant agencies to clear claims and debts and handle post - termination matters. During the liquidation period, no activities other than liquidation shall be carried out.
Article 24 Conduct of Liquidation Work
The liquidation organization is responsible for comprehensively inspecting the assets of the IAIM, preparing balance sheets and property lists, and handling claims and debts. After paying off debts in accordance with legal procedures, any remaining assets shall be disposed of in accordance with Article 25 of these Articles of Association.
Article 25 Disposal of Remaining Assets
After the termination of the IAIM, the remaining assets, under the supervision of relevant regulatory authorities and social organization registration and management authorities, shall be used to develop causes related to the purpose of the IAIM or donated to relevant public welfare organizations in accordance with relevant national regulations. The disposal plan for the remaining assets must be reviewed and approved by the General Assembly of Members or the Council and be subject to supervision and auditing by relevant departments.
Article 26 Cancellation Registration and Announcement
The IAIM shall be terminated after completing the cancellation registration procedures with the social organization registration and management authorities. After the completion of cancellation registration procedures, the IAIM shall publish an announcement through official channels to inform all members and the public of its termination.
Chapter VII Supplementary Provisions
Article 27 Entry into Force of the Articles of Association
These Articles of Association were adopted by a vote at the General Assembly of Members in February 2025. They shall come into force upon approval by the social organization registration and management authorities.
Article 28 Interpretation of the Articles of Association
The right to interpret these Articles of Association lies with the Council of the IAIM. When interpreting the Articles of Association, the Council shall adhere to the purpose and principles of the IAIM, fully considering the interests of members and the long - term development of the IAIM.
Article 29 Other Provisions
All members, staff, and relevant cooperation parties of the IAIM shall comply with these Articles of Association. Violators shall be dealt with in accordance with the relevant provisions of these Articles of Association. In case of any conflict between these Articles of Association and national laws and regulations, national laws and regulations shall prevail, and these Articles of Association shall be revised in a timely manner.
